Terms of Service

These Terms of Service (“Terms”) govern your access to and use of NeroEngine (“Service”), a software-as-a-service platform operated by NeroEngine (“we,” “us,” or “our”). By creating an account or otherwise accessing the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. The Service

NeroEngine is an AI-powered CRM and sales platform built for Managed Service Providers (MSPs). The Service includes proposal generation, quote building, contact management, lead generation, and related tools. Features and pricing may change over time; we will notify active subscribers of material changes.

2. Accounts and Organizations

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@neroengine.io if you suspect unauthorized access. Each organization may have multiple users; the account owner is responsible for ensuring all users comply with these Terms.

3. Bring Your Own Key (BYOK) and AI Generation

NeroEngine uses a Bring Your Own Key model for AI features. You supply your own API key from OpenAI, Anthropic, or another supported provider (“AI Provider”). By adding a key, you agree to that AI Provider's terms of service.

When you generate a proposal, SOW, or other AI-assisted document, NeroEngine sends the relevant input data (client name, discovery notes, quote details, etc.) to your configured AI Provider to fulfill the request. This data leaves NeroEngine's servers and is processed by the AI Provider under their policies. NeroEngine does not log or store the content of AI prompts beyond what is necessary to deliver the response.

You are solely responsible for:

• Maintaining a valid API key and any costs charged by the AI Provider for usage.
• Reviewing AI-generated content before sending it to clients. AI output may contain errors.
• Ensuring your use of AI-generated content complies with applicable laws and regulations.

4. Data and Privacy

Your account data (contacts, proposals, quotes, settings) is stored in NeroEngine's database. Your API keys are encrypted at rest using AES-128 symmetric encryption; the plaintext key is only held in memory during an active AI request and is never logged or exposed to other users.

We do not sell your data to third parties. We may use aggregated, anonymized usage data to improve the Service. We will comply with applicable data protection laws. For questions about your data, contact support@neroengine.io.

5. Acceptable Use

You agree not to:

• Use the Service to generate content that is illegal, defamatory, or fraudulent.
• Attempt to reverse-engineer, scrape, or circumvent any security measures of the Service.
• Use the Service in violation of any AI Provider's terms or usage policies.
• Resell or sublicense access to the Service without written permission.
• Upload or transmit malware, viruses, or other harmful code.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Payment and Billing

Paid plans are billed in advance on a monthly or annual basis as selected at signup. All fees are non-refundable except where required by law. If you cancel, your access continues through the end of the current billing period. We reserve the right to change pricing with 30 days' notice to active subscribers.

Failure to pay may result in suspension of your account. Reactivation after suspension may require payment of past-due amounts.

7. Trial Period

New accounts may be offered a free trial. At the end of the trial, the Service will require a paid subscription to continue. AI generation features are limited during trial periods. We reserve the right to modify or discontinue trial offers at any time.

8. Intellectual Property

You retain all rights to the data you input into the Service, including client information, discovery notes, and generated documents saved to your account. NeroEngine retains all rights to the platform, software, and underlying models and templates we develop. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

9. Limitation of Liability

To the maximum extent permitted by applicable law, NeroEngine's total liability for any claim arising out of or related to the Service shall not exceed the fees you paid in the three months preceding the event giving rise to the claim.

In no event shall NeroEngine be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages. AI-generated content is provided “as-is” and NeroEngine makes no warranty that it is accurate, complete, or fit for any particular purpose.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Termination

You may cancel your account at any time from your account settings or by contacting support. We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with 30 days' notice. Upon termination, your right to access the Service ceases. You may request an export of your data within 30 days of termination.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in the Service. Continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

13. Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Tennessee, and both parties consent to the jurisdiction of those courts.
